CONSTITUTION AND BY-LAWS
Crocker Golf Association
ARTICLE I NAME
The name of this organization shall be:
Crocker Golf Association
ARTICLE II - PURPOSES
1st To stimulate interest in golf at the
CROCKER GOLF ASSOCIATION by bringing together a group of individuals desirous by forming a golfing organization.
2nd To promote and foster among its members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the best interest and true spirit of the game of golf as embodied in its ancient and honorable traditions.
3rd To enforce uniformity in the rules of the game by creating a representative authority.
4th To maintain a uniform system of handicapping (Index Maximum of Thirty (30) as set forth in regulations of the
NORTHERN CALIFORNIA GOLF ASSOCIATION.
5th To afford a convenient and authoritative body to govern Club Tournaments held at various northern California golf course.
ARTICLE III - MEMBERSHIP
Section I: To qualify for Membership an individual must play in three (3) tournaments before nomination consideration for Membership (this requirement can be waived during membership drives). Nomination must be made by a member (sponsor) in good standings.
Section II: Memberships are individual and non-transferable.
Section III: Membership confers no vote in the operation of the golf courses, clubhouse nor any facilities of the courses played.
Section IV: Membership confers no special privileges in connection with the golf courses players.
Section V: Memberships in the club are for a calendar year only, with all memberships expiring each 12/31.
Section VI: The fiscal year for the club will by January 1st through December 31st .
Section VII: All Members are required to pay the annual fee for ASSOCIATE MEMBERSHIP in the
NORTHERN CALIFORNIA GOLF ASSOCIATION
for handicap purposes.
Section VIII: In the event any member of this organization shall commit any act which reflects discredit of disrepute thereon or shall refuse or neglect to comply with the rules and regulations adopted by the Board Of Directors or the duly append officers, such members shall be subject to suspension or expulsion after ten (10) days written notice and the right to be heard, by a vote of two-thirds of the Board Of Directors at any regular or special meeting called for such purpose.
Section IX: The annual meeting of the CROCKER GOLF ASSOCIATION shall be held at the discretion of the Board of Directors during the month of September. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable and they shall call special meeting upon written petition assigned by no less than 10% of the membership. The Board of Directors will meet in December for the purpose of approving the forthcoming schedule and discuss topics of the annual meeting.
Section X: A legal Quorum at any meeting shall be not less than twenty (20) members present in person or proxy. Each member in good standing shall be entitled to one vote.
Section XI: All membership fee and dues shall be established by the Board of Directors from time to time in such amounts as they deem to be adequate to operate and maintain the club. Members shall be liable for dues until their written resignation has been received and accepted.
ARTICLE IV - BOARD OF DIRECTORS
Section I: The Board of Directors shall consist of three (3) officers and four (4) club members in good standing of the CROCKER GOLF ASSOCIATION and they shall exercise all powers of management of the club not specifically excepted by these By-Laws.
Section II: At least five weeks prior to the Annual Meeting, the Board of Directors shall appoint a nominating committee consisting of five members of the organization. At least four (4) weeks prior to the Annual Meeting, this committee shall submit to the Board of Directors a list of nominees to fill any vacancies for the office beginning on the day of the meeting. Names of other members in good standing may be nominated by petition signed by a least ten (10) members and submitted to the Board of Directors at least two (2) weeks prior to the Annual Meeting. At least one week prior to their Annual Meeting, a list of all candidates nominated shall be mailed to each member at their last known address.
Section III:
Voting shall be by written ballot and those names receiving the greatest number of votes cast by those present at the meeting shall be declared to be elected. The
Board of Directors shall appoint a committee of three
(3) judges who are not members of the
Board of Directors or candidates for election to supervise the election.
Section IV: The Board of Directors shall meet at such times and places as they may select and a majority of the Board of Directors shall constitute a quorum at any meeting.
Section V: In the case of any vacancy through death resignation, disqualification or other causes, the remaining directors, even though less than a quorum, my elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant and until the election of the successor.
ARTICLE V - OFFICER AND COMMITTEES
Section I: Within ten (10) days after the Annual Meeting and election, the Board of Directors shall meet and elect the officers. Each officer will serve a minimum term of four (4) years.
Section II: The officers shall consist of President, Vice-President and Secretary/Treasurer and their duties shall be such as their title would indicate or such as may be assigned to them respectively from time to time.
Section III: The Board of Directors shall authorize and define the powers and duties of all committees.Chairman and members of all committee shall be appointed by the President and he shall be an ex-officio member of all committees except the nominating committee.
Section IV: The following committees shall be appointed each year with such other committees as the President may deem necessary or advisable.
Tournament Committee
- To arrange and schedule monthly tournaments and conduct all interclub and inter-club competitions.
Handicap Committee - To establish a fair and proper system of handicaps in accordance with procedures laid down by the NORTHERN CALIFORNIA GOLF ASSOCIATION.
Special Committee - To encourage and arrange social and entertainment features and events for special occasions.
ARTICLE VI - SPECIAL EVENTS:
Section I: An annual tournament will be held for the WW Crocker Perpetual Trophy. Members are required to play at least six (6) tournaments during the previous twelve (12) months to qualify.
Section II: An annual tournament will be held for the Tryforos Memorial Trophy. Members are required to play at least six (6) tournaments during the previous twelve (12) months to qualify.
ARTICLE VII - AMENDMENTS TO BY-LAWS
Section I: The Board of Directos shall have the power to repeal or amend any of these By-Laws provided that such action not be effective until approved by a majority vote of the members of the CROCKER GOLF ASSOCIATION at a meeting held in accordance with the provisions contained herein.
